Work permit type B for a management board member

Is a foreigner a member of a company's management board, a commercial proxy (prokurent) or a representative of a limited partnership? We will check whether a type B permit is needed and prepare the application.

Leave a request

When may it be needed?

Among other cases, when the foreigner:

  • Is a member of the management board of a company registered in the KRS (National Court Register).
  • Manages the affairs of, or represents, a limited partnership or a limited joint-stock partnership.
  • Acts as a commercial proxy (prokurent).

A permit is needed if, within 12 consecutive months, the foreigner will perform the function for a total of more than 6 months. The obligation also depends on the foreigner's individual situation.

Requirements for the company

The entity in which the foreigner is to perform the function must:

  • in the tax year preceding the application, achieve income of at least 12 times the average monthly wage in the voivodeship and, for at least a year before the application, employ at least two employees who do not need a work permit, full-time and for an indefinite period, or
  • show that it has the funds or is taking steps that will allow it to meet these conditions in the future — in particular by contributing to investment growth, technology transfer, innovation or job creation.

Scope of our help

  • Analysis of the legal situation of the foreigner and the company.
  • Checking whether a permit is required.
  • Preparing the application and the required documentation.
  • Verification of the company's financial and registration documents.
  • Submitting the application to the competent office.
  • Monitoring the proceedings and handling official requests.

Who is it for?

For limited liability companies (sp. z o.o.), other commercial companies and foreign entrepreneurs holding positions in Polish companies.

When a type B permit is not needed

A management board member who stays in Poland for a total of no more than 6 months within any 12 consecutive months does not, as a rule, need a work permit. An exemption may also arise from other provisions, e.g. from the foreigner's residence status. That is why we always start by analysing whether the obligation applies.

How the procedure works, step by step

  • Analysis — we check whether a permit is required and whether a temporary residence and work permit would not be a better solution.
  • Preparing the company's and the foreigner's documents.
  • Submitting the application — electronically via praca.gov.pl, to the voivode competent for the company's registered office.
  • Proceedings — we respond to official requests and supplement the documents.
  • Decision and obligations after it is issued — we remind you what needs to be reported and which conditions must be observed.

What documents to prepare

  • A current extract from the KRS.
  • The resolution on appointment to the management board or on granting the commercial proxy (prokura).
  • The company's financial documents, e.g. financial statements or tax returns.
  • A scan of the foreigner's valid passport.
  • Confirmation of payment of the application fee.

Frequently asked questions

Does the president of a single-member sp. z o.o. need a permit?

It depends primarily on how long they stay in Poland. If their stays exceed a total of 6 months within any 12 consecutive months, a type B permit or a temporary residence and work permit is usually needed.

Does a type B permit entitle you to stay in Poland?

No. It is a work permit. A separate basis is needed for residence — e.g. a visa or a temporary residence permit.

Type B or a residence card for a board member?

If the board member lives in Poland, a temporary residence and work permit, which covers both matters, is often the better solution. We will advise you on what will be more advantageous in your situation.

What if the composition of the board or the foreigner's function changes?

A change of function or conditions may require a new permit or a notification. We will analyse the change and prepare the necessary documents.
